Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms“) constitute a legally binding agreement between you (“User“, “you“, or “your“) and Awarious Technology Solutions Pvt Ltd (“Awarious“, “we“, “us“, or “our“), a company incorporated in India, governing your access to and use of Awarious CRM and related services (collectively, the “Service“).

By accessing or using Awarious CRM, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation.

2. Description of Service

Awarious CRM is a cloud-based customer relationship management platform that helps businesses manage leads, contacts, deals, tasks, and communications. The Service includes integrations with third-party platforms, including Microsoft 365, to provide features such as:

  • Email viewing and sending through your connected Microsoft 365 account
  • Calendar viewing and meeting creation via Microsoft 365 Calendar
  • Contact synchronisation with Microsoft 365 Contacts
  • Lead and deal management
  • Task and activity tracking
  • Reporting and analytics

3. Account Registration & Security

3.1 Account Creation

To use Awarious CRM, you must sign in using your Microsoft 365 account or other supported authentication methods. You agree to provide accurate information and keep your account credentials secure.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other security breach at support@awarious.com.

3.3 Organisational Accounts

If your access is provided by an organisation (e.g., your employer), your organisation’s administrator may manage your account, access your data, and control your use of the Service in accordance with the organisation’s policies.

4. Microsoft 365 Integration

4.1 Authorisation

Certain features of Awarious CRM require you to authorise access to your Microsoft 365 account via the Microsoft Graph API. By granting this access, you authorise Awarious CRM to access your email, calendar, and contacts as described in our Privacy Policy.

4.2 Scope of Access

Awarious CRM will only request the minimum permissions necessary to provide its features. We will not access data beyond the authorised scope.

4.3 Revocation

You may revoke Awarious CRM’s access to your Microsoft 365 data at any time through your Microsoft account settings or by contacting your IT administrator. Revoking access may limit the functionality of the Service.

Note: Awarious CRM’s use of Microsoft 365 data is also subject to Microsoft’s Privacy Statement and applicable Microsoft API terms.

5. Acceptable Use

You agree to use Awarious CRM only for lawful business purposes. You shall not:

  • Use the Service to send spam, unsolicited bulk communications, or phishing emails.
  • Attempt to gain unauthorised access to the Service, other users’ accounts, or any connected systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit malicious code, viruses, or harmful data.
  • Violate any applicable laws, regulations, or third-party rights.
  • Share your account credentials with unauthorised individuals.
  • Use the Service to process data that you do not have the right to process.

6. Data Ownership & Responsibility

6.1 Your Data

You retain all rights and ownership over the data you input, upload, or generate through the Service (“Your Data“). Awarious does not claim ownership of Your Data.

6.2 Licence to Awarious

You grant Awarious a limited, non-exclusive licence to use, process, and display Your Data solely for the purpose of providing and improving the Service.

6.3 Data Accuracy

You are responsible for the accuracy and legality of the data you enter into Awarious CRM. You must ensure you have the necessary rights and consents to store and process any personal data entered into the Service.

7. Intellectual Property

The Service, including its software, design, features, documentation, and branding, is owned by Awarious Technology Solutions Pvt Ltd and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Subscription & Payment

8.1 Plans & Pricing

Awarious CRM may be offered under various subscription plans, including free and paid tiers. Pricing details are available on our website. We reserve the right to modify pricing with reasonable advance notice.

8.2 Billing

For paid plans, you agree to pay all applicable fees. Subscriptions are billed in advance on a recurring basis (monthly or annually) and are non-refundable except where required by law.

8.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Upon cancellation, your access to paid features will cease, and your data will be retained for 90 days before deletion unless you request earlier removal.

9. Service Availability & Modifications

9.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that significantly affect your use of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
  • Awarious shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to Awarious in the 12 months preceding the claim.
  • Awarious is not responsible for any actions taken by Microsoft or disruptions to Microsoft 365 services that may affect the Service’s functionality.

11. Indemnification

You agree to indemnify and hold harmless Awarious, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By You

You may stop using the Service and close your account at any time by contacting us.

12.2 By Awarious

We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in fraudulent or illegal activity, or if required by law. We will make reasonable efforts to notify you of termination where possible.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases. We will retain Your Data for 90 days post-termination, during which you may request data export. After this period, data will be permanently deleted.

13. Third-Party Services

Awarious CRM integrates with third-party services including Microsoft 365. Your use of these third-party services is governed by their respective terms and privacy policies. Awarious is not responsible for the availability, accuracy, or practices of any third-party services.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days from the date of the dispute notice.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notice within the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Awarious regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our consent. Awarious may assign its rights without restriction.
